Paying an MCA balance does not make a public UCC filing disappear from search results. The business should identify the filing, obtain the promised release evidence, and confirm that the correct filing office reflects the termination. An old filing can delay a bank loan even when the underlying obligation is gone.
A filing is a notice, not a payoff statement
A UCC search may show the debtor name, secured party, filing number, filing date, and collateral description. It does not by itself prove the current amount owed. Match each filing to the executed agreement, payoff letter, and holder name, including assignments or alternate legal names.
| Evidence | What it proves |
|---|---|
| Payoff confirmation | The holder says the monetary obligation has been satisfied |
| UCC-3 termination or filing receipt | A termination record was submitted for the identified financing statement |
| Updated filing-office search | The public index reflects the current status returned by that office |
| Holder release | Any additional lien, processor, lockbox, or control rights identified in the agreement were addressed |
Article 9 is adopted through state law
UCC Article 9 provides a model framework, but states enact and administer their own versions. Section 9-513 addresses termination statements, including duties that can arise after an authenticated demand when no secured obligation remains. The governing state's statute, filing rules, agreement, and facts control the actual process. Counsel should handle a disputed or unauthorized filing.
Build the post-payoff packet
- Executed agreement and any assignment notice
- Final payoff letter and proof of payment
- Zero-balance or paid-in-full confirmation
- UCC-3 termination copy or filing receipt tied to the original filing number
- Updated filing-office result after processing
- Written confirmation that ACH, processor, or account-control arrangements ended
Do not wait for the next lender to find the problem
Search the entity after payoff and again before applying for conventional credit. If a filing remains, send a documented request through the correct notice channel and retain the response. The cure is usually easier when the payoff team still has the file open than months later when contacts and records have changed.
Does a UCC filing mean the business still owes money?
Not necessarily. It is public notice of a claimed security interest. The balance and status must be established from the agreement, holder, and payment records.
Can QC remove a filing?
No. The secured party, filing office process, applicable state law, and sometimes a court determine how a filing is terminated or challenged.
Is a payoff email enough for the next bank?
It helps, but the strongest package also includes proof of payment, termination evidence, and an updated official search.
