A participation is a fractional interest in a single commercial loan that Qualified Commercial has underwritten and an independent third-party servicer administers. You choose loan by loan. There is no blind pool.
A short-term loan to a business or real estate borrower, secured by the property, vehicle inventory or business assets it finances. Our own underwriting desk approves every loan before it is offered.
You fund a portion of that loan alongside other members. Interest and principal are paid to participants pro rata, as the offering documents describe.
An independent third-party loan servicer collects borrower payments, distributes each participant's share, and manages delinquencies and defaults under a servicing agreement. We oversee the servicer, and its reporting appears in your portal.
Bridge loans are usually repaid when the borrower refinances or sells. Principal is returned at payoff. Until then, your capital stays committed to the loan.
Once approved, you will work from a private dashboard: finding loans that fit your criteria, reviewing each offering in full, subscribing, and following every participation until it repays. The portal is being built; this section shows what it will do.

Our offerings are open to accredited private investors and family offices only. Under Rule 501(a) of Regulation D, these are the most common ways to qualify.

Rule 506(b) is a notice-based exemption. The SEC does not approve an offering; the issuer notifies it. These are the filings and checks we complete for each offering, and how you can confirm them.
Filed electronically through the SEC's EDGAR system within 15 calendar days of the first sale, which is the date the first investor is irrevocably committed. Form D is a public record you can look up on EDGAR.
The issuer and its address, its executive officers, directors and promoters, the total offering amount, the minimum investment, the type of security, and the number of investors, including that none are non-accredited. The private placement memorandum is not filed publicly. Members receive it in the portal.
A notice filing with the securities regulator of every state where an investor resides, generally through the NASAA Electronic Filing Depository, by the deadline each state sets. That is typically 15 days after the first sale to a resident of that state.
Before each offering we run and document background checks on every covered person: the issuer, its managers, directors and executive officers, anyone owning 20% or more of its voting equity, promoters, and anyone paid to introduce investors. A disqualifying event removes the exemption, so this check comes first.
While an offering remains open, we amend its Form D on or before each anniversary of the original filing, and sooner if information in it changes materially.
Secured, short-term lending still carries real risk. Each offering's private placement memorandum describes the risks specific to that loan.
A borrower can default, and collateral can sell for less than the loan balance. You can lose some or all of your investment.
Participations are restricted securities. They cannot be freely resold, and any transfer needs our consent and must meet transfer restrictions.
Participations are not bank deposits, are not FDIC insured, and are not guaranteed by Qualified Commercial or any government agency.
Loans can extend, prepay or enter workout. Foreclosure and the sale of collateral can take longer than the original term.
Payments flow through a third-party servicer. If it fails to perform, distributions can be delayed while a replacement is appointed.
Our offerings rely on Rule 506(b) of Regulation D, which prohibits general solicitation. Loan terms are shared only with accredited investors who have an established relationship with us, inside the member portal.
A private offering exempt from SEC registration under Regulation D. The issuer may raise an unlimited amount from accredited investors, may not advertise the offering publicly, and must file Form D within 15 calendar days of the first sale.
After you request an introduction and complete the accreditation questionnaire, we review your profile. Approved members see offerings once the 30-day waiting period has passed and the member portal launches.
No. Rule 506(b) allows up to 35 sophisticated non-accredited investors, but they must receive extensive disclosure. We accept accredited investors only.

Yes. Each entity completes its own accreditation questionnaire and holds participations in its own name. The planned portal shows all of them, with combined reporting, under one login.
Form D filings are public. Search for the issuer's name on the SEC's EDGAR system. Each offering's documents in the portal name the issuer entity and its CIK number.
Not freely. Members will be able to list a participation for transfer to another approved member in the portal. Every transfer needs our consent and must meet the restrictions in the offering documents and securities law.
Requests go directly to our principal, who speaks with every private investor and family office before a questionnaire is sent.
